in aordane ith the terms of this Contrat, the Seller ill have

Risk of Loss: The risk of the modit shall transfer to the

Buer:

品质数量异议：

如买方提出异议，凡属品质异议应于货到目的口岸之日起

个月内提出 ，过期不受理。对所装货物

所提任何异议属于保险公司、轮船公司、其他有关运输机构或 邮递机

构所负责者，卖方不负任何责任。理赔只限于卖方在收到买方所在地

声誉良好的商检机构或商会出具的商品抽样检查报告，证明货物与合

同不符后 ，对品质不符的货物按一比一更换或按照货物的疵劣程度和

损坏的范围将货物贬值，对数 量不符的货物给予补足。无论哪种情况

下，卖方均不对货物的可销

性

或适用性负责，也不对任何损 失赔偿负责包括但又不限于直接

的、间接的、附带的损失，如买方不能在合同规定的期限 内将信用证

开到或将预付款汇到，或者开来的信用证不符合合同规定，而在接到

卖方通知后，不能按期办妥改证，卖方有权撤销合同或延期交货，并

有权 提出索赔。

QualitQuantit Disrepan: In ase of qualit disrepan, laims

of the modit at the port of destination, hile for quantit

disrepan, laims shall be field b the Buer ithin1 3 month

after the arrival of the modit at the port of destination.

Otherise no laim ill be aepted. It is understood that the

Seller shall not be liable for an disrepan of the modit

shipped due to auses for hih the insurane pan, other

transportation organization or post offie are liable. The

settlement of suh laims is restrited to replaement of the non

onforming modit on a one to one basis or devaluation of the

modit aording to degree of inferiorit and extent of damage in

ase of qualit disrepan or suppl for the shortage in ase of

quantit disrepan, after the Seller has reeived an inspetion

report on the modit b sampling issued b a reputable modit

inspetion organization or hamber of mere at the plae here the

Buer is loated, ertifing the non onformit thereof. In no

event shall the Seller be held liable for the merhantabilit

or fitness for an purpose. Nor shall it have an liabilit or

responsibilit for damages of an kind hatsoever, inluding but

not limited to an diret, indiret or ollateral damages. In ase

the LC or the advane pament does not reah the Seller ithin

the time stipulated in the Contrat or does not orrespond to

the Contrat terms and the Buer fails to amend its terms ithin

the time limit after being notified b the Seller, the Seller

has the right to anel the Contrat or to dela the deliver of

the modit as ell as to lodge laims against the Buer.

不可抗力：

本合同内所述全部或部分 货物，如因不可抗力的原因，以致不能

履约或不得不延期交货，卖方概不负责。

Fore Majeure: The Seller shall not be held liable for

failure or dela in deliver of the entire lot or a portion of

仲裁：

在执行本合同中所产生的或者 与合同有关的一切争执，由双方协

商解决。如果协商后仍不能解决时，得提

请仲裁。仲裁在中国进行，由中国国际经济贸易仲裁委员会，根

卖双方 都应服从。除仲裁委员会另有决定外，仲裁费用由败诉一方负

担。

Arbitration: An or all disputes arising from or in

negotiation b both parties, failing hih the shall be

submitted for arbitration. The arbitration shall take plae in

China and shall be onduted b the China International Eonomi

and Trade Arbitration Commission in aordane ith the

provisional rules of proedures of the said mission. The

arbitration XXrd shall be final and binding upon both Buer

and Seller . Unless otherise XXrded b the said arbitration

mission, the arbitration fees shall be borne b the losing

part.

在此合同期间因政府出口 政策调整而引起的成本增加，则另外计

算合同金额。
