）除了履行职务的需要外，乙方承诺，未经甲方同意，不得以 任何形式

泄露与公司任何产品或服务有关的任何资料，

包括已知 的或尚未公开的有商业价

值的资料；

）乙方不得刺探与本职工作或本身业务无关的甲方商业秘密 ；

（

）乙 方不得允许或者协助不承担保密义务的任何第三方使用甲方的商业

秘密；

）乙方未经甲方批准， 不得以任何形式和理由销毁、修改甲方的技术资

料，包括电脑资料、档案、程序等有商业 价值的资料，不得携带上述资料外出使

用或保管。

7

）乙方离职时，应当返还全部属于甲方的资产 ，包括记载着甲方上述商

业秘密的一切载体。

2.3

因乙方的违约行为侵犯了甲方 的商业秘密权利的，

甲方可以选择根据本

协议，

要求乙方承担违约责任，

或者根据国家有关法律、

法规 要求乙方承担侵权

责任。

2.4

甲方支付给乙方的劳动报酬中已包含了保密费用。员工 离职后承担的

商业秘密保护义务，不以得到任何额外补偿为条件。

三、公司制度的执行

3.1

乙方承诺严格遵守公司已发 布或今后将发布的所有规章制度，并严格

按公司确定的标准、

流 程及权限操作执行，

不越权或违反流程处理任何事项，

乙

方有超越权限或违反制度、

流程行为的，

须接 受各项制度、

流程配套考核办法的

考核，

甲方视其严重程度有权无条件解除与乙方的劳动关系，

因此造成甲方损失

的，乙方应负赔偿责任。

3.2

本协议所指的制度流程的发布形式可以是书面形式发布 ，也可以是通

过公司信息办公系统

发布的，包括但不限于：质量类制度流程、

法务类制度流程、资金类制度流程、资产类制度流程、行政类制度流程、人事类

制度流程、其他业务性制度流程等。

3.3

乙方是否越权或违反制度流程处理事项的依据除留有乙 方签名的书面

依据及其他证明是乙方所为的有效证据之外，

还包 括以乙方身份在甲方各信息系
