purchase

memorandum

or

other

instrument

covering

the

Software,

as

defined

in

Schedule

B,

or

services

provided

under

this

Agreement, it is agreed that any terms and conditions contained

therein that are additional to or inconsistent with this Agreement

will

not be binding on the parties. This

Agreement

may

not be

varied

other

than

in

writing,

executed

by

the

duly

authorized

representatives

of

both

parties.

Customer

acknowledges

that

Customer has read this Agreement, understands it and agrees to

be bound by its terms and conditions.
