1.2 Interpretation

In this Agreement, where the context admits:

1.2.1 references to Clauses and Schedules are to clauses of and Schedules to

this Agreement;

1.2.2 general words shall not be given a restrictive meaning by reason of the

fact that they are followed by particular examples intended to be embraced by

the general words;

1.2.3 references in this Agreement to statutory provisions are references to

those provisions as in force at the date of this Agreement but include all

statutory modifications, re-enactments, replacements and extensions of those

1.2.4 unless the context otherwise requires, the singular includes the plural

or unincorporated, partnerships, firms, associations and individuals and

references to any agreement or such other instrument shall be deemed to

include references to such agreement or other instrument as varied or replaced

from time to time;

1.3 Headings

SERVICES

2.1

Upon and subject to the terms and conditions set out in this Agreement,

Party B shall, throughout the Term, provide the Services to Party A.

2.2

Party B undertakes to Party A that it will comply with all Applicable

Laws when carrying out the Services hereunder.

乙方向甲方承诺，在提供本协议项下服务的过程中会遵守所有应 适用法律。

PERFORMANCE OF THE SERVICES

3.1 Notwithstanding the provisions of Clause 2, Party B shall not, except with

the specific written request or authority of Party A, or of any other person

whom such board has empowered to give such authority, act as or hold itself

out as the agent of Party A.

3.2 Party B shall exercise all due skill and care in providing the Services in

accordance with the terms of this Agreement.

SERVICE FEES AND PAYMENT

4.1 In consideration of Party B providing the Services to Party A, Party A

agrees that it shall pay party B a service fee (

4.1.3 the Service Fee can be revised from time to time by agreement of the

Parties in writing; and

Fee shall cover the costs incurred by Party B for providing the Services under

this Agreement plus twenty (20)% margin.

4.1.5 Party A shall reimburse Party B for any expenses it may incur in

connection with its performance of the Services pursuant to this Agreement,

BOOKS AND RECORDS

账簿及记录

Party B shall at all times maintain, and promptly deliver up to Party A upon

demand, all books, records, accounts and statistics relating to the Services

it provides pursuant to this Agreement.

乙方应在任何时候保持并在甲方要求时立即提供与其在本协议项下提供的服务有关的所有

账簿、记录、账目及统计数据。

第六条

REPRESENTATIONS AND WARRANTIES

6.1

Each party to this Agreement represents and warrants for the benefit of

the other Party that as at the date of this Agreement and during the Term:

6.1.1 it has the full power and authority to enter into and perform its

obligations under this Agreement which when executed will constitute its valid

and binding obligations in accordance with its terms;

6.1.2

the entry into and the performance by it of this Agreement will not

constitute a breach of any law or regulation to which it is subject or by

which it is bound nor result in any claim by any third party against it nor

result in any breach of any provision of its memorandum or articles of

association or any other agreement or instrument to which it is a party or by

which it is bound;

6.1.3

it is duly incorporated and validly existing under the law of the

jurisdiction of its incorporation and it has obtained and complied with all

permits, authorities, licences and consents (whether granted by public or

private authority) required to carry on its business in the manner and in the

places in which its business is now carried on; and

6.1.4

it is financially sound and is not subject to any winding up or

bankruptcy proceedings whether compulsory or voluntary (or any analogous

proceedings thereto in Hong Kong or PRC or any other jurisdiction), and has

not made any general assignment for the benefit of its creditors.

DURATION AND TERMINATION

7.1 This Agreement shall become effective on the Commencement Date and shall

continue in force during the Term.

7.2 This Agreement shall be terminated:

7.2.1 by the Parties by written mutual agreement;

7.2.2 by either party any time by giving at least three (3) months’ written

this Agreement by a defaulting party which has not been cured (if capable of

7.2.4 by Party A automatically upon Party B becoming unable to pay its debts

CONFIDENTIALITY

8.1 Except as may be required by law or any governmental or regulatory body or

any relevant stock exchange, the Parties shall keep confidential and not

divulge to any person or use or exploit for any purpose without the prior

written approval of the other Party, any and all trade secrets or confidential

information or any technical, operational, administrative, financial or

business information relating to any other Party, which the relevant Party may

obtain as a result of the negotiation or execution of this Agreement.
