交
付

异议

卖方应于交付前通知买方验收，买方应于接到通知后合
理时间内完成验收

买方有权于卖方生产过程
中到工厂查看
生产情况，卖方应予配合。
无论买方是否进行验收，卖方均应对产品质量负责。任
何归因于卖方原因导致的产品质量不合格，卖方均应承担
赔偿责任。
因质量问题在国外被发现，买方或其授权方有权单方委
托国外鉴定机构进行鉴定，该鉴定结论卖方不持异议。

check

The
supplier
shall
assume
any
liability
attributable
to
quality nonconformity.
In

case
of
nonconformity
found
outside
china
,the
buyer
or
any
party
authorized
by
the
buyer
shall
nominate
an
inspection
institution
to
carry
out
the
quality
determination.
The
conclusion
from

inspection
institution
thereby
nominated
shall be
final,
the seller give
up
any
defense.
