Chapter 17 Liability for
Breach of Contract
Article
42
Should
the
cooperative
venture
company be unable to
continue itsoperation or achieve
its
business
purpose
due
to
the
fact
that
one
of
thecontracting
parties
fails
to
fulfil
the
obligations
prescribed
by
thecontract
and
articles
of
association,
or
seriously
violates
the
provisionsof
the
contract
and
articles of association, that party
shall be deemed
tohave
unilaterally
terminated
the
contract.
The
other
party
shall
have
theright
to
terminate
the
contract
in
accordance with the provisions of
thecontract after
approval
by
the
original
examination
and
approvalauthority,
and
to
claim
damages.
In
case
Party
A and Party B
of thecooperative venture company
agree
to
continue
the
operation,
the
party
whofails
to
fulfil
its
obligations
shall
be
liable
for
the
economic
lossescaused thereby to the joint
venture company.
Article 43 Should either Party A or
Party B fail
to provide on schedule
thecontributions in accordance

provisions

Chapter
5

contract, the party in breach shall pay
to the other

Chapter 18
Force Majeure
Article 46 Should either of the parties

contract be prevented
fromexecuting the contract by

majeure,

earthquake,

are
unpreventable
and
unavoidable,
the
prevented
party
shallnotify
the
other
party
by
telegram
without
any
delay,
and
within

daysthereafter
provide
detailed
information
of
the
events
and
a
valid
documentfor
evidence
issued
by
the
relevant
public
notary
organization
explainingthe
reason
of
its
inability
to execute or delay
the
execution
of
all
orpart of the contract. Both parties
shall, through
consultations,
decidewhether
to
terminate
the
contract
or
to
exempt
part
of
the
obligations
forimplementation
of the
contract or whether to delay the execution of
thecontract according to the effects of
the events on
the performance of

的损失，对方不得提出赔偿要求。
第六条
仲裁
本合同在执行期间，如发生争议，
双方应本着友好方式
协商解决。如未能协商解决，提请中国

、定义

、项目内容：

加工方式：
根据月度计划或库存量，乙方提前一周提出
用料需求，甲方及时提供原材料并负责运至乙
方，由乙方按
照工序要求加工成符合甲方用户质量要求的成品，并按照甲
方用户发交计划运送至甲方用户（诸城汽车厂，诸城奥铃工
厂，潍坊福田雷沃重
工）
，发往长沙汽车厂、北京密云多功
能工厂的零件由甲方用户
派车前往乙方装运。
边角料销售：按照双方协商确定的价格由乙方销售。
合同价格：以双方协商确定的价格
为准（见附件

中各工序加工价格、
边角料销售价格、
管理、
期间各种费用、
运输费用均为含税价。

、零件质量要求
合同生效后，乙方负责从甲方拉运零件生产所需模具、
借用周转箱等器具，建立台帐。因模具为生产冲压件的特殊
器具，为保
证其安全，防止器具损坏、丢失，乙方向甲方交
纳
50
万元人民币担保金后方可拉运。
甲方派专人跟班进行零件生产的指导，监督，确认初批
零件的质量状态，乙方及早消化工艺文件，积极组织生产，
确保按照甲
方用户要求及时足量发交。
乙方负责零件质量状态的检验，根据甲方用户要求出
具质检报告。

按照行业要求，零件废品率确定为千分之二。废品率之
内，甲方负
责提供原材料，乙方按照边角料价格销售，销售
款归甲方所有；超出废品率，原材料价款
由乙方负责。
考
核：因乙方原因造成
甲方受到甲方用户考核或责任追究的，
由乙方承担。

、付款方式
双方按照合同，每月初全额结算上月的各种费用。

、双方权利和义
务
甲方
甲方向乙方提供冲压工艺文件一份。
甲方负责确认乙方生产的第一批
冲压件的质量状态，
并留有封样件。
甲方月初向乙方下达本月的生产量计划，
根据用户需求每日下达发交计划。
甲方及时足量保证冲
压件生产原材料供应
。
乙方
乙方
负责按照生产计划组织冲压件生产，并按照甲方
用户需求进行及时、足量发交。
乙方应使用经过技术培
训的，具有上岗操
作资质的工人进行生产，确保乙方模具的
安全。
乙方应及时进行模具、器具的维护工作，保证其
使用期间的完好，损坏丢
失的，经双方评估维修或重新制作
费用，由乙方承担。
乙方
为甲方人员提供一间倒班宿舍及相关床具物品，
便于甲方人员跟产。
乙方为甲方带料加工期间，不得将生
产出的零件出售给
甲方用户之外的客户。

、运输
模具
、器具在合同生效后由乙方拉运，保证模具、器
具完好无损，乙方承担运输费用。
合同到期中止时，模
具、器具由甲方拉
运，承担运输费用。
冲压件发交到甲方用户
（诸城汽车
厂，
诸城奥铃工厂，
潍坊福田雷沃重工）的运输费用由乙方承担
，发往长沙汽车
厂、北京密云多功能工厂的零件由甲方协调用户派车前往乙
方装运。

、违约责任
乙方
需根据生产计划合理安排生产，保持四分之一月
度生产计划量的库存量，确保零件准时足
量发交，保证甲方
用户的需求，否则，影响了甲方用户的装配需求，造成甲方
