(hereinafter referred as “the Johnshen”)
desires to find overseas cooperator to
develop market in mode of exclusive
distribution under Johnshen?s
consideration for the business background, scope
and
future long-term enterprise
development.
Now, Therefore
,
after friendly consultations conducted in
accordance with the
principles of
equality and mutual
benefit
，
both parties hereby
enter into the
“Appointment Exclusive
Distributor Agreement” (hereinafter referred as
“the
Agreement”) on the matters
relating to the Johnshen?s overseas exclusive
distributor
including the sales
policies, brand protection, etc., and both parties
shall obey and
enforce the following
articles in the Agreement.

patents.

Exclusive
Distribution:
shall mean the exclusive
distributor who is bond with the
Johnshen under the Agreement is
entitled to distribute the Products in retail and
wholesale within the territory until
the expiration of the Agreement and obtain the
return profit in accordance with the
Johnshen?s preferential policies. The Johnshen
shall not appoint any other
distributors to sale the products in the Territory
until due
date of the Agreement expiry
unless consent by both parties in written or other
event described in the Agreement
arises.

指与本协议产品的进口与销售有关的当地法律法规及规章制度的变动、
当地市场发展趋势

Market Report
: shall mean
the report made by distributor with the content
including the changes of the local
regulations in connection with the import and
sales
of the Products covered by the
Agreement, local market tendency, especially the
quotation and advertisement materials
of same or similar products provided by other
competitive suppliers, and the buyer,
consumer and user? comments on quality,
packing, price, etc. of the products
provided by the Johnshen under this agreement.

如管理方法，产销策略，客户名单、货源情报等经营信息；生
产配方、工艺流程、技术诀窍、设计图纸等技术信息。
Trade Secret:
shall be the
technical information and business information
which the
Johnshen carries out measures
to keep them in secret. The information shall not
be
open to the public, can bring the
benefits to the Johnshen, and be full of
practicability. It is composed of two
kinds information, one means non-technology
and business information including the
management mode, production and
marketing strategy, clients
information, supply resouces,etc.; the other means
Production formula, process, technical
know-how, design drawings and other
technical information.
7.
知识产权：
是指

”
公司发明专利、实用新型、外观设计、商标的所有权
的统
称。
Intellectual Property
Rights:
shall be
collectively referred to as the Johnshen?s
ownership to the invents patents,
utility models, industrial designs, trademarks.
8.
不可抗力：
指包括但不限
于：火灾、水灾、海啸、地震、台风、飓风、旋风、瘟
疫或其他疫病、爆炸、意外事故或
机械故障、天灾、战争、封锁、禁运、劫持、暴动、
暴乱、禁止进口或出口、敌对行动或
其他类似上述该方或双方所无法控制的情形。
Force Majeure:
including but not limit to
:
Fires, floods, tsunamis, earthquakes,
typhoons, hurricanes, cyclones,
pestilence or other epidemics, explosion, accident
or
mechanical failure, natural
disasters, war, blockades, embargoes, hijack,
insurrection,
riots, prohibit the
import or export of , hostilities or other similar
to the above events
and shall be
beyond the control of the party or both parties.
9.
通知：
指根据本协议规定
所发的任何通知应以中英文作成书面，并以预付邮资的
航空挂号信，按下述本协议载明的
地址或本协议任何一方可能按接收方通知送达的其
他地址，送交收件人。任何此种通知应
视为在付邮日后第

个营业日送达。而此种
通知正式付邮的证件，应视为送达此种通知的充分证明。
Notice
: shall mean any
notice issued and sent in written with two
languages of
English and Chinese in
accordance with the provisions in the Agreement,
and by the
air postage prepaid
registered letter according to the following
address set forth in
the Agreement, or
other address to which either party may send or
deliver to the
recipient in accordance
with his notice. Any such notice shall be deemed
proper
delivery while the letter being
posted on the first [10] business formal
documents attached to this formal
notice shall be deemed sufficient proof of service
of such notice.

道向第二
条所列地区顾客销售或出口第一条所列产品，乙方不得另外在第二条所列地区经
销、
分销或促销与第一条所列产品相竞争或类似的产品，也不得招揽或接受以到第二条所
列地区以外地区销售为目的的订单，在本协议有效期内，甲方应将其收到的来自第二
条所列地区其他商家的有关产品的询价或订单转交给乙方。
3.2 In view of the exclusive
distribution rights set forth in the Agreement,
Party A
shall not, directly or
indirectly, through channels other than Party B
sell the Products
listed in Article 1
to the consumers and clients in the territory
referred in article 2.
Party B shall
not sell, distribute, or promote any competitive
or similar products
against the
Products listed in Article 1 in the Territory
referred in article 2, and shall
not
solicit or accept any order for the purpose of
distribution exceed the Territory
described in article 2. Within the
validity period of this Agreement, if Party a
receive
the possible inquiry or order
from the rest merchants in the Territory,Party A
shall
transfer them to Perty B.

4.1

协议有效期内向甲方采购的年度订单价值不低于

4.2 Both
Party A and Party B will set a performance
schedule of annual and monthly
sales in
the Territory with reference to the annual order
amount stipulated in the
Agreement, and
Party B shall timely make notification to the
Party A.
第五条
订单款项支付与交货
Article
5 Payment and delivery
未来每笔
订单交易的产品数量、价格、付款方式期限、包装、装运时间和条件等详细
内容由甲、乙
双方具体商定。付款方式如无特别约定，均适用保兑的、不可撤销的信
用证，由客户开具
，以甲方为受益人。乙方开出信用证后，应立即通知甲方，以便甲
方准备交货。信用证须
在装运日期前

The detailed terms including number of
products, specifications, price, payment
packing, shipping time and
conditions,etc in each future orders will
consulted and
agreed by both parties.
As without any special agreement the payment
methods
shall apply to confirmed,
irrevocable letters of credit issued by the client
while Party
A as the beneficiary. Upon
after openning letter of credit, the Party B shall
immediately notify Party A in
convenience of latter?s preparation for delivery.
The
letter of credit shall reach Party

第六条
给予乙方的返利政策
Article
6 Return Profit to Party B
在
本协议有效期内，若乙方完成了第四条所规定的年度最低订单价值，乙方有权享受
甲方的
返利政策，甲方按照年度实际收到货款总金额，于下年度向乙方返利。具体返
利比例等相
关政策由甲、乙双方具体协商确定作为本协议附件，实际体现在下年度货
款优惠中或者以
其他方式兑现。
Within valid period
of the Agreement, provided Party B completed the
annual
minimum order amount under
Article 4, Party B is entitled to enjoy the policy
of
return profit from Party A. Party A
will in the next financial year pay the return
profit
to Party B as deducted from
Party A?s actual annual payment received.
Furthermore
detailed return profit
policies including the return rate will consulted
and determined
by both parties and
will be specified as an annex to this Agreement,
and the return
profit will be fulfilled
or reflected in form of the rebate from good
payments in next
year or otherwise.
第七条
广告宣传及费用
Article 7
Advertising and costs
7.1
在本协议有效期内，甲、乙双方共同在商定的额度范围内，负担第二条所列地区内
销售第一条所列产品所做广告宣传费用。同时，甲方将视乙方的年度销售业绩，给予
< br>相应程度的广告支持。
7.1 During the
term of the Agreement, both Party A and B share
the costs arising
from distributing the
Products listed in Article 1 in the territory
within a limited
amount consulted.
Furthermore, Party A will give corresponding
support in
advertising based on Party
B?s annual sales performance.
7.2
甲方向乙方提交所用于广告
的图案模版、声像资料及文字说明，供乙方广告投入使
用之前事先参照；乙方可以根据地
区具体情况做适当修改后报送甲方审阅，最终广告
宣传方案的确定由甲方决定并交由乙方
实施。
7.2 Party A will provide
the design templates, audio-visual data and test
description
used in advertising for the
purpose of reference before Party B?s putting
to
use the
advertising.
Party B can make appropriate modifications in
light of local specific
circumstances
and submit them to Party A for reviewing, The
final advertising
program and plan
shall be determined by Party A and implemented by
Party B.
